Which companies have to prepare a Sustainability Report?
Fiscal year 2024
According to Finance Order No. 85/2024 on regulating sustainability reporting issues, public interest companies with more than 500 employees will be required to report for the fiscal year 2024, with a reporting deadline in 2025.
Fiscal year 2025
At the same time, according to the Finance Order no. 4.164/2024 on updating the size criteria of the reporting entities, starting from 2025, with the deadline for submitting the Report in 2026, companies that fulfil at least two of the following three criteria will have to report: a number of more than 50 employees, assets worth more than 25 million lei or a turnover of 50 million lei.
Fiscal year 2026
Listed SMEs will be added to the categories of companies that have reported in previous years. The sustainability report will be issued in 2027.
How to Report?
Sustainability Reporting must be carried out in accordance with ESRS Standards (European Sustainability Reporting Standards).
These are the set of Technical Standards developed by the European Financial Reporting Advisory Group (EFRAG) to support the implementation of the Corporate Sustainability Reporting Directive (CSRD).
The ESRS emphasise transparency, accountability and comparability, and provide a clear framework through which companies can document their Environmental, Social and Governance (ESG) impact.

Even if each company has its own specificities, the main steps for developing the strategy, policies and ultimately the sustainability report are the same for any business.
There are currently 12 ESRS Standards:
- Two transversal standards (ESRS1 and ESRS2): for general topics containing basic principles.
- Ten specific standards centred on the themes of: Environment (ESRS E1-E5), Social (ESRS S1-S4) and Governance (ESRS G1).
