The aim of this legislation is to have a more balanced gender representation in the management bodies of listed companies in all EU Member States.<\/span><\/strong><\/p>\n<p><span style=\"color: #000080;\">The Directive sets a target of 40% of the under-represented sex among their non-executive directors and 33% among all directors for large listed EU companies.<\/span><\/p>\n<p><span style=\"color: #000080;\">Member States had a transposition deadline of 28 December 2024 and <strong>companies must meet the targets by 30 June 2026.<\/strong><\/span><\/p>\n<h2>Share <strong>women on boards<\/strong><\/h2>\n<p><span style=\"color: #000080;\">Share <strong>women on company boards average 34 % in the EU<\/strong>. Since 2010, the representation of women on company boards has improved in most EU Member States, but the extent of progress varies considerably and in some Member States the situation is stagnating. For example, in 2024, women accounted for 39.6% of board members of the largest listed companies in countries with mandatory gender quotas, compared to 33.8% in countries with non-binding measures and only 17% in countries with no such measures.<\/span><\/p>\n<h2><span style=\"color: #000080;\"><strong>Clear representation targets and transparent appointments to improve gender balance<\/strong><\/span><\/h2>\n<p><span style=\"color: #000080;\">Member States must already have transposed the Directive's rules into national law. These rules include:<\/span><\/p>\n<ul>\n<li><span style=\"color: #000080;\">specific binding specific measures for the selection procedure of administrators, with criteria <strong>transparent<\/strong> and <strong>gender neutral<\/strong>;<\/span><\/li>\n<li><span style=\"color: #000080;\"><strong>ruler<\/strong> <strong>favourite<\/strong> for the candidate of the under-represented sex - in the case of equally qualified candidates representing both genders;<\/span><\/li>\n<li><span style=\"color: #000080;\"><strong>disclosure<\/strong> the criteria on the basis of which the choice was made, if this is requested by a rejected candidate;<\/span><\/li>\n<li><span style=\"color: #000080;\"><strong>commitments<\/strong> Individualised efforts by listed companies to achieve gender balance among executive directors;<\/span><\/li>\n<li><span style=\"color: #000080;\"><strong>reporting<\/strong> on the composition of management boards and on obstacles to the fulfilment of the objective of the Directive, where applicable, as well as on the actions taken to overcome these obstacles;<\/span><\/li>\n<li><span style=\"color: #000080;\"><strong>sanctions<\/strong> effective, proportionate and dissuasive sanctions for companies that fail to comply with transparent selection and reporting obligations. Sanctions are defined by Member States and may include fines and the nullity or cancellation of the appointment of the directors concerned, if necessary;<\/span><\/li>\n<li><span style=\"color: #000080;\">The directive also requires member states to publish a list of companies that have achieved gender balance targets and to designate one or more bodies to promote, analyse, monitor and support gender balance in governing bodies.<\/span><\/li>\n<\/ul>\n<h2><span style=\"color: #000080;\"><strong>Next steps<\/strong><\/span><\/h2>\n<p><span style=\"color: #000080;\">The Commission will check Member States' notifications of their transposition measures and whether they correctly transpose the Directive. The Commission may initiate<span style=\"color: #0000ff;\"> <a style=\"color: #0000ff;\" href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/ro\/memo_12_12\" target=\"_blank\" rel=\"noopener noreferrer nofollow\"><strong>infringement procedures<\/strong><\/a><\/span> against Member States which fail to notify transposition or transpose the Directive incorrectly.
